This website (www.getscopelocked.com) and the ScopeLocked service (the “Service”) are owned and operated by Dianliang Emergency Technology (Tianjin) Co., Ltd. (Unified Social Credit Code: 91120104MA06Y8RNXL), a company incorporated in the People’s Republic of China on March 9, 2020, with its registered address at Room 601, Gate 3, Building 2, Xiyang Dongli, Miyun Road, Nankai District, Tianjin, China (“ScopeLocked”, “we”, “us”, or “our”). By accessing or using the Service you agree to be bound by these Terms of Service (the “Terms”). If you do not agree, do not use the Service.

1. The Service

ScopeLocked is a software tool that helps freelancers and small teams turn conversational project discussions (for example WhatsApp, email, or WeChat threads) into a structured project brief that both parties can review and confirm. The Service is a productivity and collaboration tool. ScopeLocked is not a law firm, a payment processor, an escrow service, a debt collection service, a dispute resolution service, or a financial institution, and does not provide legal, tax, accounting, or financial advice.

2. Eligibility & Accounts

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

3. Your Content

You retain all rights to the conversations, project details, and other content you submit to the Service (“Your Content”). You represent and warrant that (a) you have the right to submit Your Content and to share it with your counter-party, (b) Your Content does not infringe or violate any third-party rights or applicable law, and (c) you have obtained any consents required to process personal data contained in Your Content. You grant ScopeLocked a limited, non-exclusive license to process, store, and display Your Content solely to operate and improve the Service for you. We do not review, moderate, or validate the accuracy of Your Content.

4. Subscriptions & Credits

Some features of the Service are offered on a subscription or pay-per-use (credit) basis. Prices are shown in the pricing page and may be updated on prospective renewals. A credit is consumed each time you use the Service to generate a completed project brief for confirmation. Refund eligibility is described in our Refund Policy. Payment is processed by our third-party payment provider; ScopeLocked does not itself collect, hold, or transmit funds between you and your clients.

5. Prohibited Use

You agree that you will not use the Service to:

• Fabricate, forge, or misrepresent any agreement, invoice, timeline, or communication;
• Engage in fraud, money laundering, terrorism financing, gambling, adult content, illegal firearms, controlled substances, or any activity that violates applicable law;
• Process personal data unlawfully, or upload content you are not authorised to share;
• Harass, defame, threaten, or extort any person;
• Circumvent access controls, reverse engineer, or resell the Service without our written consent;
• Send unsolicited bulk or marketing communications through the Service.

We may suspend or terminate your access if we reasonably believe you have breached this section.

6. Not a Payment Processor, Escrow, or Legal Service

ScopeLocked is a collaboration tool only. We do not guarantee that either party will actually pay, deliver, or perform any obligation described in a project brief. Any payment, delivery, dispute, or enforcement is entirely between you and your counter-party and their own legal or financial advisors and payment channels.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING ANY OUTPUT BEFORE RELYING ON IT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOPELOCKED AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO SCOPELOCKED IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnity

You agree to indemnify and hold ScopeLocked harmless from any third-party claim arising from Your Content, your use of the Service, or your breach of these Terms.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if required by law. Sections that by their nature should survive termination will survive.

11. Changes

We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Your continued use of the Service after the update constitutes acceptance.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles. The competent courts located in Tianjin, China will have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Service.
